Terms of Service

1. Services

Mog AI Enterprise Inc. (""Mog AI"", ""we"", ""our"") provides on-premise AI infrastructure consulting, deployment, integration, and training services. Our services include but are not limited to:

• GPU infrastructure assessment, architecture design, and hardware recommendations.
• On-premise large language model (LLM) deployment and configuration.
• Private Retrieval-Augmented Generation (RAG) system development.
• Enterprise AI integration (Slack, Confluence, Jira, email, wikis).
• AI training workshops and team enablement sessions.

2. Engagement & Pricing

• All pricing is quoted per-engagement unless otherwise specified in writing.
• Payments are due within 14 days of invoice date (Net 14).
• Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.
• Retainer engagements auto-renew monthly unless cancelled with 30 days written notice.
• Prices are quoted in USD unless otherwise agreed in writing.

3. Deliverables & Timeline

• Deliverables and timelines are specified in the Statement of Work (SOW) for each engagement.
• Mog AI will use commercially reasonable efforts to meet agreed timelines but makes no guaranteed completion date outside the SOW.
• Delays caused by client-side factors (hardware procurement, access delays, information gaps) extend the timeline proportionally.

4. Intellectual Property

• Your Data: You retain full ownership of all data, documents, and models hosted on your infrastructure. Mog AI never claims ownership of client data.
• Our Work Product: Custom code, configurations, and deployment scripts created specifically for your engagement are licensed to you exclusively and in perpetuity.
• Our Tools: Pre-existing tools, frameworks, and methodologies developed by Mog AI remain our intellectual property. You are granted a perpetual, non-exclusive, revocation-free license to use them.

5. Confidentiality

• Mog AI treats all client information as confidential, including business plans, technical architecture, employee data, and financial information.
• Confidentiality obligations survive termination of any engagement for a period of 3 years.
• Mutual NDA can be executed prior to discovery calls upon request.

6. Limitation of Liability

Mog AI's total liability under these terms shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.

7. Warranties

• We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards.
• We warrant that deployed systems will function according to the specifications in the SOW for a period of 30 days from deployment (or as specified in the SOW).
• EXCEPT AS EXPRESSLY STATED HEREIN, ALL SERVICES ARE PROVIDED ""AS IS"". WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

8. AI Output Disclaimer

• Large language models may produce inaccurate, incomplete, or inappropriate outputs (""hallucinations""). Mog AI is not liable for content generated by LLMs deployed on client infrastructure.
• Client is responsible for reviewing and validating all AI-generated outputs used in business-critical decisions.
• Mog AI provides best-practice guidance on guardrails, output filtering, and safety measures as part of our deployment services.

9. Termination

• Either party may terminate an engagement with 30 days written notice.
• Upon termination, Mog AI will deliver all completed work product and return or delete all client data as directed.
• Payments for work completed through the termination date are due within 14 days.

10. Governing Law

These terms are governed by the laws of the Province of Quebec and the laws of Canada applicable therein. Any disputes shall be resolved in the courts of Montreal, Quebec.

11. Changes

Mog AI may update these terms at any time. Material changes will be communicated in writing. Continued engagement constitutes acceptance of updated terms.
